Contracts

After consultation with the client, Optimum Environment will prepare a letter or formal contract for the client's signature. The contract will include the approach to be used, scope of services, a budget and cost estimate, and a schedule for completion. The following Standard Contract Provisions are included in all contracts and are provided here for reference.

Standard Contract Provisions

Optimum Environment makes no warranty, either express or implied, as to its findings, recommendations or professional advice, except that it will be prepared in accordance with generally accepted professional practice.

This agreement may be terminated by either party upon written notice of the other. In the event of termination, Optimum Environment shall be paid within 30 days for the total services provided to the termination date.

For contracts provided on a time and materials basis, materials will be charged as follows:

Vehicle use is $0.44/mile;
Direct reimbursement for any travel, parking, tolls and other subsistence expenses connected with the project;
Invoice cost, plus a 10% administrative fee, for all outside consultants, professional or technical firms used on the project, materials, supplies, reproductions, copies, postage, long distance phone calls, equipment rental, computer rental, computer program or word processing rental and use, and any other out-of-pocket expenses related to the project.
Direct equipment charges;
- Laser Rangefinder Rental @ $100/day
- Noise Meter Rental; Quest 2800 meter @ $50/day and Quest 214 or 215 meter @ $30/day/meter

Any services provided not within the scope of this contract will be considered extra work and will be billed on a time and materials basis, at a rate or cost considered normal and appropriate for the person or persons or service provided.

All charges for services rendered are due and payable within 30 days of billing. A service charge of one and one-half (1.5) percent/month will be added for late payments.

The client agrees to pay any reasonable legal or attorney fees, other related fees, or court costs incurred should it be necessary to enforce the provisions of this contract, or for the defense of any unsuccessful claim against Optimum Environment for any alleged errors, omissions or acts in the performance of this contract.
